These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Loudoun Forward, operated by Toye Oremosu ("Loudoun Forward," "we," "us," or "our"), governing your access to and use of LoudounForward.com, our podcast, newsletter, and any related services.
Your use of our services constitutes your acceptance of these Terms in full, including our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, subscribers, clients, podcast guests, and sponsors.

Our Services
Loudoun Forward provides the following services, which are subject to these Terms:
- Content Platform: The LoudounForward.com website, including articles, business features, community news, and editorial content about Loudoun County, Virginia
- Podcast: The Loudoun Forward Podcast and Live Undeniably podcast, distributed via audio and video platforms including YouTube, Spotify, Apple Podcasts, and others
- Newsletter: The Loudoun Forward email newsletter distributed through Substack, covering local business news, spotlights, and community updates
- Business Directory: A directory of Loudoun County businesses, including free and paid listing tiers
- Events: Live networking events, workshops, and community gatherings organized or co-organized by Loudoun Forward
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice, and without liability to you.
Eligibility
By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing our services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
Our services are intended primarily for local businesses, entrepreneurs, professionals, and community members in Loudoun County and the Northern Virginia region. We welcome users from all locations, but certain services may be geographically limited.
Accounts & Access
Certain features of our platform may require you to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at hello@loudounforward.com of any unauthorized access or security breach
We use Clerk for account authentication and management. By creating an account, you also agree to Clerk's terms of service as applicable to end users. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
Acceptable Use
You agree to use our platform and services only for lawful purposes and in a manner consistent with these Terms.
Permitted Use
- Browsing and sharing our editorial content
- Subscribing to and engaging with our newsletter
- Listing your Loudoun County business in our directory
- Applying to be a podcast guest
- Engaging our paid creative and marketing services
- Attending our events and workshops
- Linking to our content with proper attribution
Prohibited Use
- Scraping, crawling, or bulk downloading our content
- Reproducing our content without written permission
- Submitting false, misleading, or defamatory information
- Impersonating any person, business, or entity
- Attempting to gain unauthorized access to our systems
- Using our platform to distribute spam or unsolicited messages
- Interfering with the proper functioning of our website
Violation of these acceptable use standards may result in immediate suspension of access, removal of content, and potentially legal action where warranted.
Content & IP
All content published on LoudounForward.com — including but not limited to articles, podcast episodes, video content, show notes, newsletter issues, photography, graphics, logos, and brand assets — is the exclusive property of Loudoun Forward or its licensed contributors, protected by United States copyright law and applicable intellectual property statutes.
What you may do
- Share links to our content on social media and other platforms
- Quote brief excerpts (no more than 100 words) with clear attribution and a link back to the original source
- Reference our content in your own commentary, reviews, or educational materials with proper credit
- Use our press kit materials (when made available) for media coverage
What you may not do without written permission
- Reproduce, republish, or redistribute full articles, episode transcripts, or newsletter issues
- Use the Loudoun Forward name, logo, or brand marks in any commercial context
- Create derivative works based on our content for commercial purposes
- Sell, license, or sublicense any of our content
- Remove or alter any copyright, trademark, or proprietary notices

Your Submissions
When you submit content to Loudoun Forward — including business directory listings, guest applications, event registrations, contact form messages, or testimonials — you grant Loudoun Forward a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with our services and promotional materials.
By submitting content, you represent and warrant that:
- You own or have the necessary rights to the content you submit
- Your submission does not infringe any third party's intellectual property, privacy, or publicity rights
- Your submission is accurate and not misleading
- Your submission does not contain defamatory, obscene, or unlawful material
We reserve the right to remove any user-submitted content that violates these Terms or that we deem, in our sole discretion, to be inconsistent with the Loudoun Forward community and brand standards.
Paid Services
When you engage Loudoun Forward for paid creative, marketing, or consulting services, the specific scope, deliverables, timeline, and fees will be governed by a separate written agreement or project proposal. These Terms apply in addition to any such project-specific agreement.
General terms for paid services
- Payment: Fees are due per the payment schedule in your project agreement. We reserve the right to pause work on accounts with outstanding balances beyond agreed payment terms.
- Revisions: The number of included revision rounds will be specified in your project proposal. Revisions beyond the agreed scope may incur additional fees.
- Ownership: Upon receipt of full payment, clients receive the rights to final deliverables as specified in their project agreement. Loudoun Forward retains the right to display completed work as portfolio examples unless expressly agreed otherwise in writing.
- Cancellations: Cancellation terms are specified in individual project agreements. Deposits and payments for work already performed are generally non-refundable.
- Third-party costs: Client is responsible for any third-party costs (domain registration, hosting fees, software subscriptions, ad spend, etc.) unless explicitly included in the project scope.
- Client responsibilities: Timely delivery of required assets, feedback, and approvals is the client's responsibility. Delays caused by the client may extend project timelines without penalty to Loudoun Forward.
Monthly Service Subscriptions
For recurring monthly service packages including membership, a 30-day written notice is required to cancel. Cancellation does not entitle the client to a refund of the current billing period.
Sponsorships
Loudoun Forward offers sponsorship and promotional partnership opportunities for local businesses, brands, and organizations that align with our community mission. All sponsored content is subject to a separate Sponsorship Agreement and the following general terms:
- Disclosure: All sponsored content, paid placements, and commercial relationships will be clearly identified as "Sponsored," "Partner," or similar disclosures in compliance with FTC guidelines
- Editorial independence: Sponsors do not control or influence our editorial content, guest selection, or journalistic coverage. Sponsorship is a commercial relationship, not an endorsement of sponsor claims.
- Content approval: We reserve the right to decline, modify, or remove sponsor content that conflicts with our community values, contains inaccurate claims, or violates applicable laws
- No exclusivity: Unless explicitly agreed in writing, sponsorship packages do not grant exclusive category rights
- Performance: While we strive to deliver accurate audience and distribution metrics, we make no guarantees of specific reach, clicks, or business outcomes from sponsorship placements

Podcast Guests
By agreeing to appear as a guest on the Loudoun Forward Podcast you agree to the following:
- Recording consent: You consent to the recording, editing, and publication of your appearance in audio, video, and written formats across all distribution platforms
- Content license: You grant Loudoun Forward a perpetual, non-exclusive, royalty-free license to use your appearance, likeness, voice, name, and submitted materials (bio, photos, links) in connection with episode publication and promotion
- Accuracy: You are responsible for the accuracy of information you share during your appearance. Loudoun Forward is not liable for claims made by guests.
- Promotional cooperation: We appreciate guests sharing their episodes on their own channels, though this is not required
- No compensation: Guest appearances are provided as a platform for visibility and community contribution. Unless separately agreed, no monetary compensation is provided.
- Publication rights: Loudoun Forward retains full editorial discretion over episode release, editing, show notes, and distribution. Guests do not have approval rights over final content unless expressly agreed.
- Withdrawal: Requests to remove published episodes are evaluated on a case-by-case basis and are not guaranteed. Please contact us at hello@loudounforward.com.

Our services and content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Guarantees that our website will be uninterrupted, error-free, or free of viruses or harmful components
- Warranties regarding the accuracy, completeness, or timeliness of content published on our platform

- Costs of substitute goods or services
- Any damages arising from reliance on content published on our platform
- Unauthorized access to or alteration of your data or transmissions
In no event shall Loudoun Forward's total liability to you for all claims arising from or related to these Terms or our services exceed the greater of: (a) the total amount you paid to Loudoun Forward in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Loudoun Forward and its owner, team members, contractors, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of our services in a manner not authorized by these Terms
- Content or information you submit to our platform
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any misrepresentation you make in connection with our services
Termination
We reserve the right to suspend or terminate your access to our services, with or without notice, for any reason, including but not limited to:
- Violation of any provision of these Terms
- Conduct that we believe harms our community, other users, or the Loudoun Forward brand
- Extended inactivity on platform accounts
- Fraudulent, abusive, or illegal activity
You may terminate your use of our services at any time by discontinuing access and, where applicable, canceling your subscription or account. Termination does not relieve you of obligations incurred prior to termination, including any outstanding payment obligations. Sections 6, 11, 12, and 13 of these Terms survive any termination.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Loudoun County, Virginia.
Before initiating any formal legal proceeding, you agree to first contact us at hello@loudounforward.com and make a good-faith effort to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving written notice.
If informal resolution fails, disputes may be submitted to binding arbitration administered by a mutually agreed arbitration service under its then-current rules, with arbitration conducted in Loudoun County, Virginia. Class action waivers apply — you may only bring claims in your individual capacity, not as a class or representative action.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Notify active subscribers and registered users via email or newsletter for significant changes
- In some cases, request renewed acknowledgment for changes that materially affect your rights
Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of our services.
